The Corporate Secretary Service has been create at the Bank, headed by the Corporate Secretary, who is governed by the aforementioned regulatory and legal acts and the following internal regulatory acts of the Bank

• Regulation on the Corporate Secretary Service,
• Regulation on the Corporate Secretary,
• Corporate Management Code, and
• Corporate Culture and Ethics Code.

Corporate Secretary:

• arranges the preparation and administration of the General Participants (Shareholders) Meeting in accordance with applicable Ukrainian legislation, the Charter and other internal documents of the Bank; arranges for the proper contacts with the shareholders, i.e.:
• ensures that the shareholders receive timely, exhaustive and credible information;
• takes every measure to prevent violations of the shareholder rights and settles disputes arising out of violations of the shareholder rights;
• on request of shareholders, arranges for timely and exhaustive updating them on decisions passed by the General Shareholders Meeting, Supervisory Council, and Audit Commission;
• on request of shareholders, issues duly certified copies of the Bank’s documents, provided for by legislative acts, the Charter of the Bank, its internal regulations, decisions of the General Shareholders Meeting and the Supervisory Council;
• controls the fulfillment of decisions made by the General Shareholders Meeting, Supervisory Council, and the Management Board; handles affairs of the Bank, i.e.:
• controls the preparation of public information and disclosure of information by the Bank management to authorities on their request; and
• ensures safekeeping of restricted (confidential) information and provision of such information to authorities;
  regularly checks compliance of the Bank’s documents with legislative requirements and prepares proposals on amendments and supplements to such documents; and
• controls (employing the relevant organizational units of the Bank) over observance of internal procedures and regulations by the management bodies of the Bank.
